XINGSHI International Trade Terms & Conditions
1. General Terms
These terms apply to all orders and contracts between XINGSHI and the Buyer, unless otherwise agreed in writing.
By placing an order, the Buyer accepts these terms in full.
2. Quotations & Orders
Quotations are valid for 25 days unless specified otherwise.
Orders must be confirmed in writing (email/PO) and are binding upon XINGSHI’s written acceptance.
Minimum Order Quantities (MOQs) may apply based on product type.
3. Pricing & Payment Terms
Prices are in USD (or agreed currency) and ex-works (EXW), unless stated otherwise.
Payment Methods:
T/T (Bank Transfer): 30% deposit with order, 70% before shipment.
LC (Letter of Credit): Irrevocable LC at sight, issued by a reputable bank.
Additional Costs: Buyer bears all bank fees, taxes, duties, and customs clearance charges.
4. Delivery & Shipping
Lead Time: Typically 15–45 days after order confirmation (varies by product).
Shipping Terms:
EXW (Ex-Works): Buyer arranges transport and bears all risks after pickup.
FOB/CIF: Available upon request; costs and risks transfer per Incoterms® 2020.
Delays: XINGSHI is not liable for delays caused by force majeure (e.g., natural disasters, strikes).
5. Quality Assurance & Inspection
Standards: Products meet specifications agreed in the contract.
Inspection: Buyer may inspect goods at the loading port within 7 days of shipment. Claims must be filed before shipment departure.
6. Warranty & Liability
Warranty: XINGSHI guarantees materials against manufacturing defects for 12 months post-delivery.
Limitations: No liability for improper use, storage, or unauthorized modifications.
7. Force Majeure
Neither party is liable for failures due to war, pandemics, government actions, or natural disasters.
8. Dispute Resolution
Negotiation First: Parties agree to resolve disputes amicably.
Arbitration: Unresolved disputes go to CIETAC (China) or agreed arbitration body.
9. Governing Law
Contracts are governed by Chinese law, with exclusive jurisdiction in Chinese courts.
10. Confidentiality
Both parties must protect trade secrets and technical data shared during cooperation.
